Welcome to VIP Smart Mega Mall ("vipsmm.cn"), the global leader in comprehensive e-commerce platforms connecting international businesses, manufacturers, professional service providers, and various commercial entities across multiple sectors. This document constitutes the binding agreement between you and the platform administration, governing all forms of interaction with our integrated services including but not limited to: wholesale and retail systems, specialized service portals, electronic payment solutions, smart logistics systems, and integrated technical support services.


   

 

   


       

2. Acceptance and Commitment


       

Your intentional use of or access to any VIP Smart Mega Mall services constitutes explicit and unconditional acceptance of all terms in this document, including the privacy policy, payment terms, and any usage guidelines we publish. We reserve the right to immediately restrict or block access to any user violating these terms without prior notice. We recommend periodic review of this document as continued use after modifications implies acceptance.


   

 

   


       

3. Account Management


       

3.1 Registration Requirements


       

To create an account you must be: (a) a natural person at least 18 years old, or (b) an authorized legal representative of a formally registered business entity, providing all verification documents. We verify all user identities and may request additional documentation for AML compliance and international standards.


        
       

3.2 Account Security


       

You are solely responsible for: (1) login credential confidentiality, (2) all activities through your account, (3) immediate reporting of suspected breaches. We strongly recommend using complex passwords, enabling two-factor authentication, and regularly updating contact information. 5. Transaction Framework


       

VIP Smart Mega Mall operates as a neutral technical environment facilitating transactions without being a direct party to user contracts. We provide quality assurance tools but don't guarantee: (a) seller information accuracy, (b) product/service quality, (c) fulfillment of obligations between parties.  All transactions are subject to clear service fees ranging 1%-5% by service type.


   

 

   


       

6. Intellectual Property


       

VIP Smart Mega Mall retains full ownership rights to all: (a) software elements, (b) design interfaces, (c) databases, (d) institutional content. Users may only use their own content while granting us a non-exclusive display license. We protect intellectual property per WIPO treaties and collaborate with international organizations against violations.


   

 

   


       

7. Liability and Indemnification


       

VIP Smart Mega Mall isn't liable for: (a) indirect/incidental damages, (b) failures beyond our control, (c) anticipated profit losses. Maximum liability in any case won't exceed the service value provided. You agree to indemnify us against claims resulting from your violations. We recommend additional commercial insurance for high-value transactions.


   

 

   


       

8. Modifications and Notices


       

We reserve development and modification rights to match technical/legal developments. You'll be notified of substantial changes via: (a) registered email, (b) platform notifications, (c) news section publications. Implicit consent applies if no written objection is made within 30 days of changes.


   

 

   


       

9. Governing Law and Dispute Resolution


       

These terms are governed by UNIDROIT principles and relevant international agreements. Disputes are first resolved through commercial arbitration per ICC rules in Paris. If unresolved, the user's country courts will adjudicate per local laws.


   

 

   


       

10. General Provisions


       

Additional policies include: (a) GDPR/CCPA-compliant privacy policy, (b) PCI DSS payment terms, (c) return/replacement policy, (d) quality controls. Our failure to enforce any right isn't a waiver.
